Orca DAO Prepares for a New Growth Strategy
Orca DAO is considering a major restructuring of its treasury, fee distribution and governance as the Solana-based decentralized exchange prepares for its next phase of growth. The proposal, first published on September 29, would give Orca greater control over its existing resources while creating room for acquisitions and new product development.
A central part of the plan is a potential acquisition of a leading Solana DeFi protocol. The transaction would add credit and yield products to Orca's existing offering and broaden the protocol's exposure beyond decentralized exchange activity. The proposal is designed to give the team additional resources to pursue this expansion while changing how protocol fees and treasury assets are managed.
The proposal would also significantly alter Orca's existing buyback structure. Under the proposed system, 80% of protocol fees would remain with Orca to support development and growth. Another 10% would be used to programmatically purchase ORCA from the open market and distribute the tokens to xORCA holders, while the final 10% would go to a discretionary buyback wallet controlled by the team. Orca Treasury Assets Could Fund Acquisitions
The proposal would also change how Orca's existing treasury holdings are deployed. Approximately 14.2 million ORCA tokens currently held in the community treasury, valued at about $40.4 million, would be transferred to a team-controlled account for potential acquisitions. The community fee treasury's SOL would also move into a team-controlled wallet and be deployed across Solana DeFi. The goal is to make the capital productive rather than leaving it idle while Orca seeks to expand its products and revenue base.
The proposed changes represent a substantial departure from the current fee structure. At present, 40% of protocol fees are directed toward open-market ORCA purchases, 10% goes to the community fee treasury and the remaining 50% supports Orca's growth. The new framework would reduce the direct buyback allocation while increasing the portion retained for broader development.
Governance Structure Faces a Major Overhaul
The proposal goes beyond treasury management and would also reshape Orca's governance system. The existing governing council would be dissolved and replaced with a structure designed to place greater emphasis on the wider community.
A verified list of identifiable ORCA tokenholders is also part of the proposed governance changes. However, the voting process itself has become one of the most controversial elements of the proposal.
At the time of the proposal's consideration, Realms showed 100% of submitted votes supporting the changes. Voting is scheduled to continue through a cooldown period before ending on October 12.
The apparent unanimous support does not reflect the level of disagreement visible among parts of the Orca community. Critics have challenged both the proposal's contents and the mechanics governing who can participate in the vote.
xORCA Holders Raise Voting Concerns
One of the main complaints centers on xORCA, the staked version of ORCA. Holders of xORCA are not currently able to vote directly on the proposal, while converting xORCA back into ORCA involves a seven-day unstaking cooldown.
That creates a potential timing problem for staked holders who want to participate. Because the proposal's voting period is shorter than the unstaking window, some xORCA holders may not be able to convert their tokens and vote before the deadline.
The approval threshold has also attracted criticism. The proposal requires 3 million YES votes for approval, meaning it could pass even if a majority of participating votes were against it, provided the required YES threshold is reached.
This combination of voting eligibility, the unstaking delay and the fixed approval requirement has fueled concerns among some community members about whether the process adequately reflects the preferences of all ORCA holders.
Acquisition Could Expand Orca Into Credit and Yield
The proposed acquisition is one of the most important elements of the strategy. While the proposal describes the target as a leading Solana DeFi protocol, the specific acquisition terms have not been fully detailed.
The intended result is an expanded product lineup covering credit and yield markets. Adding these products could give Orca additional sources of activity and revenue while reducing its reliance on its existing decentralized exchange business.
However, the acquisition has also become a point of concern for some tokenholders. Critics have questioned the lack of detailed terms and warned about the possibility of future selling pressure associated with the acquired assets or businesses. The proposal therefore represents a trade-off between retaining more resources for expansion and maintaining the direct benefits that ORCA holders receive through the existing buyback structure.
ORCA Price Jumps 84% in Seven Days
The market reaction has been considerably more positive than the governance debate. ORCA has gained 84% over the past seven days as interest surrounding the proposed acquisition and Orca's broader expansion strategy has increased.
Orca is one of Solana's longest-running decentralized exchanges and was an early adopter of concentrated liquidity market maker technology. The renewed activity around the protocol comes alongside a broader increase in trading flows through its markets.
Trading volume has also accelerated sharply. Weekly Orca volume rose from approximately $605 million during August lows to around $2 billion in the first week of October.
The increase in activity gives Orca a stronger operating base as the DAO considers whether to redirect capital toward new products and acquisitions. At the same time, the governance dispute shows that the community remains divided over how those resources should be controlled and how much value should flow directly back to tokenholders.
Orca Faces a Key Governance Decision
The Orca proposal places the protocol at an important point in its development. The plan would transform the way protocol fees are allocated, move millions of dollars worth of treasury assets toward potential acquisitions, deploy treasury SOL across Solana DeFi and replace the existing governing council.
The potential acquisition could also push Orca further into credit and yield markets, expanding its role within Solana's DeFi ecosystem. But the voting structure and reduced direct buybacks have created significant disagreement among tokenholders.
With voting scheduled to conclude on October 12, the outcome will determine whether Orca moves forward with its proposed growth strategy.
